Terms of Service

Welcome to Indo Marketplace. By accessing or using our website at indo-shop.com (the "Site") and any services provided through the Site (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). Please read them carefully.

Status of this document

[[TODO-ST: e-recht24]] Every section of these Terms EXCEPT section 2 is inherited prose that has not been drafted for German law and has not been reviewed by a lawyer. Section 12 (governing law and dispute resolution) is empty by design — see the marker there. The rest is to be regenerated from an e-recht24 AGB generator for a German UG selling goods to consumers, and reviewed. It is left in place rather than deleted because Terms with sections are less bad than no Terms at all, not because any of it is settled.

1. Acceptance of Terms

By accessing or using Indo Marketplace, you confirm that you are at least 18 years old (or the age of majority in your jurisdiction) and have the legal capacity to enter into these Terms. If you are using the Services on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

2. Contracting party, formation of contract and customer information

2.1 Your contracting party

Your contracting party is SGM Tripathi UG (haftungsbeschränkt), Lorenzstr. 64, 12209 Berlin, Germany, represented by its Managing Director Siddharth Tripathi. Full details are in our Impressum.

2.2 The technical steps to a contract

An order is placed in the following steps. Each is reached only by an act of yours, and none of them binds you until the last one:

  1. Your cart — you place items in the basket and review them. Nothing is ordered yet.
  2. DATA & DELIVERY — you enter your delivery address and contact details.
  3. PAYMENT — your delivery address is shown back to you, and a summary of your order — every item with its quantity and line price, the shipping cost on its own row, and the total marked as including VAT — is displayed immediately above the order button, uncollapsed.
  4. ORDER WITH OBLIGATION TO PAY — pressing this button places a binding order and triggers payment. Nothing before it does.

2.3 When the contract is concluded

Your order is an offer to buy. Our automated acknowledgement of receipt is not an acceptance. The contract is concluded when we send you a separate order confirmation by email, or when we dispatch the goods, whichever happens first.

2.4 Correcting input errors

Before you press the order button you can correct any entry: use the "edit" control beside your delivery address on the payment step to return to the address form, change quantities or remove items in the basket, or leave the checkout with your browser. Nothing is binding until the order button is pressed.

2.5 Storage of the contract text

We store the text of your contract. You receive your order data and these Terms by email after ordering. If you have an account, past orders are also visible under "Orders".

2.6 Languages of the contract

The contract may be concluded in German or in English. Both versions of these Terms are available at all times on this page. In the event of any discrepancy between the two versions, the German version prevails.

3. Account Registration

3.1 Account Creation

To access certain features of our Services, you may need to create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use of your account.

3.3 Guest Checkout

We offer guest checkout options for users who prefer not to create an account. Guest users are still bound by these Terms when making purchases.

4. Products and Orders

4.1 Product Descriptions

We strive to display our products as accurately as possible. However, as our products are handcrafted by artisans, slight variations in color, size, pattern, and finish may occur. These variations are part of the authentic, handmade nature of our products and are not considered defects.

4.2 Pricing

All prices are stated in euros (EUR) and include statutory value-added tax and, for goods shipped from outside the European Union, all customs duty and import turnover tax. Nothing further is payable on delivery. Shipping costs are stated separately before the order is placed; see our Shipping & Payment page.

4.3 Order Acceptance

Your order constitutes an offer to purchase. We reserve the right to accept or decline any order for any reason, including but not limited to product availability, errors in product or pricing information, or suspected fraudulent activity.

4.4 Payment

We accept payment through Stripe and other payment methods as displayed at checkout. By providing payment information, you represent that you are authorized to use the payment method and authorize us to charge your payment method for the total order amount.

5. Shipping and Payment

Please refer to our Shipping & Payment page for payment methods, when payment is taken, shipping costs, the free-shipping threshold and delivery times.

6. Right of withdrawal

Consumers have a statutory right to withdraw from this contract within fourteen days. The full instruction, the exclusions and the model withdrawal form are on our Right of Withdrawal page, which forms part of these Terms.

7. Intellectual Property

7.1 Our Content

All content on the Site, including text, graphics, logos, images, product designs, and software, is the property of Indo Marketplace or our content suppliers and is protected by copyright, trademark, and other intellectual property laws.

7.2 Limited License

We grant you a limited, non-exclusive, non-transferable license to access and use the Site for personal, non-commercial purposes. You may not reproduce, distribute, modify, or create derivative works of any content without our prior written consent.

7.3 User Content

If you submit reviews, comments, or other content to the Site, you grant us a non-exclusive, royalty-free, perpetual, irrevocable right to use, reproduce, modify, and display such content in connection with our Services.

8. Prohibited Conduct

You agree not to:

  • Use the Services for any unlawful purpose or in violation of these Terms
  • Interfere with or disrupt the Services or servers or networks connected to the Services
  • Attempt to gain unauthorized access to any part of the Services
  • Use any automated means to access the Services without our permission
  • Impersonate any person or entity or misrepresent your affiliation with a person or entity
  • Upload or transmit viruses or other malicious code
  • Engage in any conduct that could damage our reputation or goodwill

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INDO MARKETPLACE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

  • Your use or inability to use the Services
  • Any unauthorized access to or use of our servers or any personal information stored therein
  • Any interruption or cessation of transmission to or from the Services
  • Any errors or omissions in any content

Our total liability to you for any claims arising from or related to these Terms or the Services shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Indo Marketplace and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorney's fees, arising out of or in any way connected with your access to or use of the Services or your violation of these Terms.

12. Governing Law and Dispute Resolution

[[TODO-ST]] The governing-law and dispute-resolution clause of these Terms has been removed and not replaced. What stood here chose the law of the State of Delaware and referred disputes to binding arbitration before the American Arbitration Association. Against a consumer resident in Germany a choice of law may not deprive them of the protection of their own mandatory law (Art. 6(2) Rome I), and a pre-dispute arbitration agreement is void (§ 1031 Abs. 5 ZPO). The replacement wording is to come from an e-recht24 generator and a lawyer, and is deliberately not drafted here.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of any material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, Cookie Policy, and any other policies referenced herein, constitute the entire agreement between you and Indo Marketplace regarding your use of the Services.
